Zeria's Swiss unit Tillotts to buy the German site that makes most of its Asacol
Zeria Pharmaceutical said on October 26, 2026 that its Swiss subsidiary Tillotts Pharma has agreed to acquire all of the shares of Haupt Pharma Wülfling (HPW), a German pharmaceutical manufacturer, from Aenova Holding. The share transfer agreement was signed on October 23, 2026, Swiss time. Tillotts holds none of HPW today and will hold 100%; once the transfer is executed, HPW becomes a second-tier subsidiary of Zeria. HPW has handled most of the manufacturing of Asacol, Tillotts' drug for inflammatory bowel disease, for years, and Zeria says Tillotts will take manufacturing at the site in house. Execution is scheduled for January 2027 or later and depends on closing conditions that include regulatory approvals. For anyone with product made at the site, what to check is how it is treated in approval dossiers and whether product-level filings follow the transfer.
What moves is who decides capacity, not where the tablets are made
The product keeps coming off the same lines. What changes hands is the decision on manufacturing capacity, production planning and quality control. Zeria says owning all of HPW expands Tillotts' manufacturing base substantially, gives it more direct and more flexible control over those three, and makes long-term stable supply of the product more secure.
Under a supply contract, raising volume or touching a line has to fit the contract manufacturer's own plan for its other customers. Inside a group, that decision is made internally. In general, a site is bought for that control rather than for a lower unit cost per tablet.
HPW is not only an Asacol plant. Zeria describes it as holding deep expertise in the development, manufacture and packaging of solid dosage forms and in handling investigational drugs, and says bringing its experienced staff into the group is essential to maintaining and developing Tillotts' own manufacturing, and to meeting the flexible manufacturing needs of a wider portfolio. Tillotts is a specialty pharma in gastrointestinal disease and sells Asacol and other prescription drugs in about 65 countries.
For a contract manufacturer, a long-running product can leave by being bought
HPW sits in Gronau, Germany, was established on September 24, 1996 and has capital of EUR 5 million. Its revenue was EUR 51,007 thousand for the year to December 2023, EUR 47,828 thousand for 2024 and EUR 41,062 thousand for 2025, roughly 20% lower across the three years. Operating profit and the other income figures were withheld, with Zeria saying the amounts fall inside the minor threshold for timely disclosure. The seller, Aenova, is a contract development and manufacturing organization headquartered in Starnberg, Germany.
If you sell contract manufacturing, this is the third way a mature product leaves your plant. The first two are a lost renewal and a re-tender. The third is the customer buying the site, which ends the contract and the asset together. A relationship long enough to make your site strategic to one customer is also long enough for that customer to price the capacity as an asset rather than a booking.
Buying the entity is not the same as moving the process
In a share deal the operating company stays, the site stays, and the parent above it changes. Nothing has to be re-qualified for a move that did not happen. Transferring a process to another plant is a different job: equipment that differs in detail, validation runs, and the paperwork that comes with a new manufacturing site. As long as production stays where it is, the scope of what has to be verified again is not the same as in a transfer.
That does not make a share deal free of filings. Whether a change touches what is written in an approval is decided product by product inside change control, and the procedure attached to it differs by country. This announcement addresses neither point.
Two questions follow for readers on each side of such a deal. If you run a site outside Japan that makes product for the Japanese market, ask your marketing authorization holder which registered particulars a change of owner touches, because accreditation of a foreign manufacturer sits with the site and its recorded details rather than with the group above it. If you are the one buying, remember that shares carry the whole company, including the other customers and products on those lines.
What is settled so far is a signed agreement to take over a site that has made most of one product for years, and with it the decisions on capacity, planning and quality. What to watch next is the execution from January 2027 and whether the closing conditions, regulatory approvals among them, are met. Zeria says it is still assessing the effect on consolidated results for this year and beyond and will disclose promptly if anything needs reporting.
